關於民法兩個問題,董事和準物權

問題一 : (以下為社團法人)
董事若在執行職務(比如外送)時肇事，適用民法第28條
係因為董事的行為代表法人的行為，法人須自己負責
然而，若今天A董事只是掛名(榮譽董事之類)
且經過法人自己特約(比如在章程規定、或者社員總會決議)
不授予A董事代表權，使其類似於受僱人

那麼，A董事外送時肇事，仍然用第28條?還是用第188條?
該法人可舉證免責嗎?可向A董事進行內部求償嗎?
這裡會牽涉到"表見代表"的問題嗎???

問題二 :
無權處分包含物權行為和準物權行為
準物權行為為何不得善意受讓呢?
是因其公示效力不強嗎? 還是有別的原因?
